Terms, Privacy & Client Agreement

This page outlines the terms, conditions, and policies governing engagement with Emerge Neuro Coaching, a brand of Ugolini Consulting LLC ("Coach," "we," "us"). By accessing this website, booking services, or participating in coaching, you agree to the terms outlined below.

1. Scope of Coaching Services

Emerge Neuro Coaching provides neuroscience-informed leadership and performance coaching for executives and high-performing professionals.

Coaching is a collaborative, reflective process designed to support awareness, clarity, leadership effectiveness, and sustainable performance. Coaching is not therapy, psychotherapy, medical treatment, or a substitute for professional mental health care, medical advice, or diagnosis.

Clients remain fully responsible for their decisions, actions, and results.

2. Breathwork, Energy Work & Physical Considerations

Peak Protocol intensives include Conscious Connected Breathwork and energy healing work, facilitated in partnership with Rachael Leman (Keysville Breathworks). These modalities can involve intense physical, emotional, and somatic experiences.

By participating, the client acknowledges and agrees that:

• Breathwork and energy work are complementary wellness practices, not medical, psychiatric, or psychological treatment, and are not a substitute for care from a licensed physician or mental health provider.

• Participants are responsible for disclosing any relevant physical or mental health conditions, pregnancy, or medications that could affect their ability to safely participate in breathwork before the intensive begins.

• Participants with cardiovascular conditions, epilepsy, a history of psychosis, or who are pregnant should consult a physician before participating in Conscious Connected Breathwork, and should disclose this at the time of booking.

• Emerge Neuro Coaching, Ugolini Consulting LLC, and Keysville Breathworks are not liable for any physical, emotional, or psychological reaction arising from participation in breathwork or energy work, to the fullest extent permitted by law.

• Participants may pause or opt out of any part of the breathwork or energy work portion of the day at any time.

3. Coaching Relationship & Client Responsibility

Coaching outcomes depend on the client's engagement, honesty, and willingness to reflect and apply insights between sessions. While many clients experience meaningful shifts, specific outcomes are not guaranteed.

The client agrees to:

• Participate actively and responsibly

• Communicate openly and respectfully

• Take ownership of decisions and actions resulting from coaching

4. Coaching Engagements & Term Commitment

Coaching services are offered as fixed-term engagements, typically three (3), six (6), or twelve (12) months.

By enrolling in a coaching engagement, the client agrees to:

• Commit to the full duration of the selected engagement

• Complete the engagement as structured

• Engagements may not be cancelled mid-term.

• Coaching engagements are non-transferable and may not be reassigned to another individual or organization.

5. Peak Protocol Intensives

Peak Protocol full-day intensives (Executive, Couples, and One-Day formats) are a distinct offering from ongoing coaching engagements and are governed by the following additional terms:

• Full payment is required to reserve your date. This is non-refundable.

• Peak Protocol intensives are non-transferable to another individual, couple, or date without prior written agreement.

• Investment and location for each Peak Protocol track are shared personally during a consultation and confirmed in writing before booking.

• As with all coaching services described above, no specific outcome is guaranteed, and full payment is due regardless of the participant's perceived results.

6. Payment Terms & Payment Plans

Payment is required in full prior to the commencement of coaching services unless a payment plan has been explicitly agreed upon.

If a payment plan is offered:

• It does not alter the total financial commitment

• All scheduled payments remain due through the full six (6) or twelve (12) month term, regardless of participation, attendance, or perceived benefit.

• Failure to complete a payment plan does not release the client from the agreed financial obligation.

No refunds are provided for coaching services.

7. Session Scheduling, Expiration & Rescheduling

• Sessions must be used within twelve (12) months of purchase

• Sessions not used within this timeframe will expire

• Clients may reschedule sessions with at least 48 hours' notice

• Sessions missed or cancelled with less than 48 hours' notice may be forfeited

8. Confidentiality

All coaching conversations are treated as confidential, except where disclosure is required by law (e.g., risk of harm to self or others).

Confidentiality does not extend to:

• Illegal activity

• Information already in the public domain

• Situations where disclosure is required by law

9. Intellectual Property

All materials provided during coaching sessions — including frameworks, exercises, written materials, and recordings — are the intellectual property of Emerge Neuro Coaching and may not be reproduced, distributed, or shared without written permission.

10. Limitation of Liability

To the fullest extent permitted by law, Emerge Neuro Coaching and Cara Ugolini shall not be liable for any direct, indirect, incidental, or consequential damages arising from participation in coaching services.

Clients agree that coaching is a professional development service and not a guarantee of financial, professional, or personal outcomes.

11. Privacy Policy

We may collect personal information including:

• Name and contact information

• Intake form responses

• Scheduling details

• Payment information (processed securely through third-party providers)

We do not store full payment details directly.

Information is used solely to:

• Provide coaching services

• Communicate with clients

• Manage scheduling and payments

We do not sell, rent, or share personal information.

We may use trusted third-party platforms such as:

• Scheduling tools (e.g., Calendly)

• Video conferencing platforms (e.g., Zoom)

• Payment processors (e.g., Stripe)

Each provider maintains its own privacy and security standards.

Session Documentation and AI-Assisted Tools:

Coaching sessions conducted through video conferencing platforms may utilize features such as recordings, transcripts, note-taking tools, or AI-generated meeting summaries to support session documentation and continuity of service. Any information generated through these tools will be treated as confidential and accessed only as necessary to support the coaching relationship. Clients may request that recordings, transcripts, or AI-generated summaries not be used during their sessions.

Data Security:

Reasonable measures are taken to protect personal information and coaching-related records. Information may be stored on secure third-party platforms used to provide coaching services. While care is taken to select reputable providers, no digital transmission, storage system, or online platform can be guaranteed as completely secure.

12. Cookie Policy

This website uses cookies and similar technologies to operate effectively and understand how visitors use the site.

• Essential cookies keep the site functioning correctly (e.g., shopping cart, page navigation) and cannot be disabled.

• Analytics cookies help us understand site traffic and visitor behavior so we can improve the site's content and performance.
